Welcome to the website of Khachi Design + Build.These Website Terms of Use (“Terms”) govern your access to and use of www.khachi.com, including its pages, features, written content, images, videos and other materials collectively referred to as the “Website.”The Website is operated by Khachi Design + Build (“Khachi,” “we,” “us” or “our”), an Ontario design-and-build firm.Please read these Terms before using the Website. By accessing or continuing to use the Website, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree with these Terms, please discontinue your use of the Website.
1. Purpose of the Website
The Website introduces Khachi, our approach, our work and the design, construction, decorating, continued-care and related services we may offer.Website content is provided for general informational, editorial and promotional purposes. It is intended to help visitors understand our firm and begin a conversation with us.Nothing on the Website constitutes:architectural, engineering, structural or technical advice;construction, renovation or maintenance instructions;legal, financial, tax, insurance or real-estate advice;a quotation, estimate, tender or offer capable of acceptance;confirmation that a project is feasible, permitted or suitable;a promise that Khachi will accept or undertake a project;a guarantee concerning cost, schedule, approvals, materials, performance or results; ora substitute for advice based on the conditions of a specific property or project.Project recommendations and obligations can only be established after appropriate review and, where applicable, through a written agreement.
2. Relationship to Project Agreements
These Terms govern use of the Website only.Design consultations, design services, construction services, decorating services, procurement, project management, Care + Concierge services and other professional services may be governed by separate proposals, engagement letters, contracts, schedules, policies or terms.Submitting an inquiry, booking request or project description through the Website does not create:a client relationship;a designer-client, contractor-client or other professional relationship;an obligation for Khachi to provide services;an obligation for you to retain Khachi;a reservation of availability or project commencement date; oran agreement regarding scope, price, schedule or deliverables.A professional or contractual relationship begins only when the required parties have entered into the applicable written agreement and any stated conditions of engagement have been satisfied.Where there is a conflict between these Website Terms and a signed project agreement, the signed project agreement will govern the project-related matter.
3. Eligibility and Authority
You may use the Website only if you are legally capable of entering into a binding agreement or are using it with the involvement and authorization of a parent or legal guardian.When you use the Website on behalf of a company, property owner, family member or another person, you represent that you have authority to act on their behalf in relation to that use.
4. Permitted Use
You may access and use the Website for lawful, personal and legitimate business purposes, including:learning about Khachi;reviewing our portfolio and services;reading our editorial content;submitting an inquiry;contacting our team;applying for an available position; andconsidering whether Khachi may be suitable for a potential project or collaboration.Your permission to use the Website is limited, non-exclusive, non-transferable and revocable.

6. Intellectual Property
Unless otherwise indicated, the Website and its content are owned by, licensed to or used with permission by Khachi.Protected content may include:the Khachi name and related business names;logos, marks, taglines and brand language;“Makers of the Imagined” and other proprietary language;photographs, renderings, illustrations and videos;architectural, interior and construction-related imagery;project stories and descriptions;written copy, essays and editorial materials;graphics, layouts, typography and visual systems;drawings, diagrams and presentation materials;Website design, organization and functionality; andother original or proprietary materials appearing on the Website.Website content is protected by applicable copyright, trademark and other intellectual-property laws.No ownership rights are transferred to you through your use of the Website.
7. Limited Permission to View Website Content

8. Project Images and Credits
The Website may feature projects involving contributions from clients, architects, consultants, builders, designers, decorators, photographers, stylists, trades, artisans, suppliers and other collaborators.Where credits are provided, they are intended to recognize known contributors but may not identify every person or organization involved.You may not use Website imagery or project information to:claim authorship or project involvement that you did not have;misrepresent the scope of any contributor’s work;suggest that a property is available for public access;identify, locate or contact a private homeowner;disclose or infer confidential details about a property or client; orpromote products or services without the necessary rights and permissions.Some photographs, marks, products or materials displayed on the Website may belong to third parties and remain subject to their respective rights.

Any references on the Website to project types, processes, budgets, timelines, service areas or expected outcomes are general only unless expressly stated otherwise in a signed agreement.Actual project requirements and outcomes may depend on matters including:existing site and building conditions;project scope;property access;surveys and investigations;municipal requirements;zoning and permitting;consultant review;engineering;material and labour availability;trade availability;supplier lead times;client decisions and approvals;market conditions;concealed conditions;changes in law, codes or regulations; andevents beyond the reasonable control of the parties.Only a written agreement signed by the appropriate parties may establish a binding project scope, fee, price, allowance, schedule, warranty or other commitment.
11. Inquiry Forms and Submitted Information
The Website may allow you to submit information about yourself, your property and a potential project.You agree that information you submit will, to the best of your knowledge, be accurate and that you are authorized to provide it.Please do not submit:passwords or access credentials;complete payment-card information;government identification numbers;unnecessary medical or financial information;information protected by another person’s confidentiality rights;copyrighted plans, photographs or materials that you are not authorized to share; ormaterial that is unlawful, threatening, defamatory, discriminatory, abusive or malicious.Information submitted through an inquiry form is handled in accordance with our Privacy Policy.Submitting information through the Website does not guarantee that we will respond, accept the proposed project or maintain availability for it.
12. Materials You Provide to Khachi

17. Communications
When you contact Khachi, you authorize us to respond using the contact information you provide.Administrative messages relating to an inquiry, consultation, appointment or project are different from promotional communications.Where required, promotional electronic communications will be sent in accordance with applicable consent and unsubscribe requirements. You may withdraw from promotional email communications by using the unsubscribe option provided or by contacting info@khachi.com.
18. Website Security

20. Limitation of Liability
To the fullest extent permitted by applicable law, Khachi and its directors, officers, employees and authorized representatives will not be liable for indirect, incidental, special, consequential or punitive losses arising solely from:your access to or inability to access the Website;your reliance on general Website content without obtaining project-specific advice;an interruption, error or security incident affecting the Website;a third-party website or service not operated by Khachi; orunauthorized use of the Website by another person.Where Khachi is found liable for a claim arising exclusively from use of the public Website, and not from services governed by a separate agreement, our aggregate liability will be limited to the greater of:the amount, if any, you paid directly to Khachi specifically for access to the Website during the six months preceding the claim; andone hundred Canadian dollars.Because access to the public Website is generally provided without charge, this limitation reflects the nature of that access.These limitations do not apply where liability cannot legally be excluded or limited, including liability arising from fraud, wilful misconduct or another matter for which exclusion is prohibited by law.Project-related liability is governed by the applicable signed project agreement and applicable law.

You are responsible for losses, claims and reasonable expenses incurred by Khachi to the extent they directly result from:your unlawful use of the Website;your material breach of these Terms;content you submit without the necessary rights or authority;your infringement of another person’s intellectual-property or privacy rights; oryour intentional interference with the security or operation of the Website.This section does not require you to compensate Khachi for losses caused by Khachi’s own negligence, breach of law or misconduct.

30. Entire Agreement Concerning Website Use
These Terms, together with the Privacy Policy and any other legal notices expressly incorporated into them, form the entire agreement between you and Khachi concerning use of the public Website.They do not replace a signed consultation, design, construction, decorating, procurement, Care + Concierge or other service agreement.
